STATEMENT OF COMMITMENT

At Blue Archipelago Berhad (“the Company”), we recognise that bribery and corruption are damaging to legitimate business interests and to the very fabric of society.

The Company and employees are committed to conducting our business activities in accordance with all applicable laws and regulations that prohibit bribery or corruption. This prohibition against bribery and corruption and this OACP are the premise of the Company’s commitment to conducting business in an ethical manner.

Every employee of the Company and its subsidiaries including any agent, person or entity engaged under a contract for service or engaged by the Company or its subsidiaries formally and informally should maintain the values of integrity, honesty and professionalism at all times during his/her employment/engagement with the Company or when representing the Company or its subsidiaries in business transactions with third parties.

Primarily, the Company is fully committed to:

a) a zero-tolerance approach to any form of corruption, bribery, abuse of power and conflict of interest.
b) creating employees and business associates with high ethical value and integrity.
c) practicing fair, ethical and honest values towards our employees and business associates.
d) reviewing and implementing stringently all policies and by-laws to deter corrupt practices.

A note of acknowledgment to our Board of Directors, Integrity & Governance Unit, Senior Management and all employees of the Company for participating and according to your unwavering support towards our strive to eliminate the threat of corruption and bribery.

Background on Blue Archipelago Berhad OACP

a) Blue Archipelago Berhad initiated drafting of its OACP in March 2021 as a result of the Khazanah Nasional Berhad (KNB) Project Guardians.

b) Blue Archipelago Berhad has taken into account the guidelines on adequate procedures issued by the of the Prime Minister Office (Governance, Integrity and Anti-Corruption Centre) during the establishment of this Blue Archipelago Berhad’s OACP. There are five main principles that the Blue Archipelago Berhad focuses on as a reference point for the Blue Archipelago Berhad OACP, namely:

i.   Top Level Commitment;
ii.  Risk Assessment;
iii. Undertake Control Measures;
iv. Systematic Review, Monitoring and Enforcement; and
v.  Training and Communication.

Structure of Blue Archipelago Berhad OACP

a) The Blue Archipelago Berhad OACP structure consists of the Committee Chairman, who has adequate experience and knowledge of the Blue Archipelago Berhad’s business to guide the Committee and spearhead the development of the Blue Archipelago Berhad OACP.

b) The OACP Committee members consist of representatives from the business, operations and support departments. This staff will be the liaison officer with respect to Governance, Integrity and Anti-Corruption in their respective Business Units. The diversity of committee members from various areas of the Business Unit can provide a holistic view of the issues faced by the Blue Archipelago Berhad.

c) Blue Archipelago Berhad’s Integrity and Governance Unit (IGU) function will be of an administrative role, as the OACP Committee Secretariat, responsible for coordinating the development of the OACP, monitor and document the OACP implementation for quarterly reporting to the Board.

Monitoring and Evaluation Mechanism

a) The implementation evaluation for each Blue Archipelago OACP initiative will be monitored by IGU through respective HOD on monthly basis and update the Senior Management on monthly basis and quarterly basis for Board.

b) Blue Archipelago Berhad OACP is a living document and additional initiative may be included from time to time to ensure the integrity, governance and anti-corruption elements are in place. In addition, IGU shall conduct annual Corruption Risk Assessment (CRA) to measure current corruption risk and to mitigate identified corruption risk. New/additional mitigation plan on CRA shall be included in the Blue Archipelago Berhad OACP as an appendix and shall be monitored by IGU.
